NOTICE OF ANNUAL MEETING OF MEMBERS
May 16, 2018
The Annual Meeting of Members of Tampa Bay United Soccer Club, Inc., a Florida not for profit corporation (the “Club”), will be held at 8108 Benjamin Rd, Tampa, Florida 33634, on Wednesday, May 16, 2018 at 6:00 p.m., local time, for the transaction of the following business:
(1)To accept Club officer’s annual reports;
(2)To elect Club Board of Directors;
(3)To transact such other business as may properly come before the meeting or any adjournment or adjournments thereof.
The Board of Directors recommends that all shareholders vote “FOR” acceptance of the Club officer's reports and election of Board of Directors.
Under the Florida Not For Profit Corporation Act, the Florida Business Corporation Act and the Club’s By-Laws, if a quorum is present, the favorable vote of a simple majority of the votes cast by Members, voting in person or by proxy, at the meeting will be required in order to approve the matters referred to in proposal (1) above.
The Board of Directors has fixed the close of business on April 9, 2018, as the record date for the determination of Members who are entitled to notice of, and to vote at, the Annual Meeting and/or any adjournment or adjournments thereof.
In order to assure that your interests will be represented, whether or not you plan to attend the Annual Meeting in person, the forms of proxy will be posted no less than 2 weeks prior to the AGM.
